Corporations are set up in way that is similar to the republic called the United States of America. Just as we elect Representatives and Senators to carry out the business of the people, shareholders elect Board members to manage the upper executives, oversee the corporation's direction and look out for them. It often doesn't work this way.


Under pressure, Chesapeake cuts director pay

 (Reuters) - Chesapeake Energy Corp (CHK.N), under growing pressure from shareholders to improve corporate governance, reduced the compensation for its outside directors by 20 percent and eliminated their use of its aircraft for personal travel, the company said on Friday.

  

Chesapeake and its board have come under fire in recent weeks after Reuters reported, among other things, that Chesapeake CEO Aubrey McClendon had taken out more than $1 billion in previously undisclosed loans using his interest in company wells.

S&P Vs Meredith Whitney

Two days ago, the S&P revised California's credit rating outlook from "negative" to "stable" as a result of the successful completion of its budget. Although S&P is not directly addressing Whitney in any way, this "upgrade" hurts Whitney's thesis that municipal bonds (those issued by state and local governments) will inevitably fall as cities and states experience deepening problems.

High frequency trading, or HFT, is when a computer system execute trades in milliseconds based on what is going on with investors wanting to buy and sell a stock at any one moment, or what a stock is priced at on various computerized exchanges that compete with one another. The software and computer act so quickly that trades are placed without human intervention.  How do companies that trade using high frequency trading get that " one up" on other firms that buy and sell stock?

Greece's Junk Pile Keeps Getting Messier

Eurostat, the statistics organization of the EU, has just released breaking information: Projections of the Greek government’s deficit reductions were off. As stated in previous columns, the Greek government was aiming to reduce its budget deficit to a revised figure of 9.4% and reported that it met this target. However, when the statistics were announced yesterday it was revealed that the deficit was actually over 1% higher, at 10.5%. This caused shockwaves, as investors holding Greek bonds dumped them and their yields skyrocketed.

Apple Shareholders Do Not Want Succession Plan Announced

steve jobsApple shareholders rejected a proposal for the company to disclose succession plans for CEO Steve Jobs.  Jobs went on indefinite medical leave about a month ago, which could be related to past bouts with cancer or with his liver transplant.

HP Shakes Up Their Board

Hewlett-Packard has announced that they are adding five new members to their board.  Four current members will also step down, which will bring the board up to 13 members.  This comes only shortly after much criticism and multiple shareholder lawsuits over the dismissal of the former CEO.
